Assistant Company Secretary

Our client's legal and governance team is led by a highly regarded General Counsel and Head of Corporate Governance, who both have extensive experience in the financial services industry. The Corporate Governance team is responsible for providing legal services to various business areas as well as providing corporate governance services to the boards of the company's entities. 

Position Description

The role of Assistant Company Secretary (Listed) will report to the Head of Corporate Governance and Group Company Secretary. You will also work closely with the Senior Company Secretary on listed governance and
providing board committee support.

You will collaborate broadly across the Group Corporate Governance team to maintain a consistent team approach, to manage the overall workload of the team, and to undertake a range of legal and corporate governance projects across the business.

Requirements
  • Experience in preparing draft minutes and agenda, managing progress of matters arising and corporate governance matters reporting
  • Previous experience in a board administrative role, preferably at a senior level and at an ASX Listed company
  • Solid experience working with boards or company secretariats (whether as assistant company secretary, board assistant or board co-ordinator) or as a legal secretary
  • Thorough knowledge of Microsoft Word, Outlook, PowerPoint, Excel and Adobe Acrobat
  • Knowledge of ASX announcement platform, on-line ASX forms and appendices
  • Exposure to an electronic board portal such as Diligent Boards and Diligent Entities (or a similar electronic company secretarial database
  • Excellent verbal and written communication skills
  • Understanding of the financial services industry and regulatory regime and developments impacting the financial services industry in Australia (specifically ASX Listing Rules and obligations of APRA regulated entities) is desirable
  • Experience with leveraging AI tools such as Microsoft Copilot is desirable
  • Completion of the Governance Institute of Australia’s Certificate in Governance Practice is desirable
  • Excellent interpersonal and communication skills including the ability to deal confidently with stakeholders
  • Exceptional organisational and time management skills, with proven ability to plan, multi-task and appropriately prioritise responsibilities
  • Excellent attention to detail and a self-starter who has a proactive approach, a proven ability to use their initiative and always work autonomously and professionally
  • Ability to maintain discretion and confidentiality, and work within high standards of integrity and honesty
